TAKAVIC LTD VIP Subscription Program Terms and Conditions Effective Date: 07 April 2026


Please read these Terms and Conditions carefully before subscribing to the VIP Program. By completing the subscription process, you confirm that you have read, understood, and agreed to be bound by these Terms.

Article 1 — Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings set out below:

"Terms" or "T&C": These Terms and Conditions governing the VIP Subscription Program.

"Company", "we", "us", "our": TAKAVIC LTD, incorporated and operating under the laws of Hong Kong Special Administrative Region ("Hong Kong"). Registered address: 1007A 10th Floor, OfficePlus Prince Edward, No.794-802 Nathan Road, Kowloon, Hong Kong. License No.: License: 78309389.

"Member", "you", "your": Any individual aged 18 or over who has subscribed to the VIP Program.

"VIP Program": The subscription-based membership program described herein.

"Billing Cycle": The recurring 28-day period for which the subscription fee is charged.

"Store Credit" or "Cashback Credit": A non-cash credit applied to the Member's account on the Website, usable as a discount against eligible purchases at checkout.

"Website": The e-commerce website operated by the Company, accessible at taka.ozerty.com.


Article 2 — Acceptance of Terms

By subscribing to the VIP Program, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not subscribe to or continue using the Program.

Subscription is completed when you select the VIP Program option and confirm your payment details. These Terms form a binding agreement between you and the Company from the moment of subscription.

The Company reserves the right to amend these Terms at any time. Any material changes will be communicated to Members by email at least 30 days before taking effect. Continued use of the Program after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not accept the changes, you may cancel your subscription at any time in accordance with Article 7.


Article 3 — VIP Program Description

The VIP Subscription Program is a recurring membership offering the following benefits to active Members:

  • A one-time welcome store credit of $5 USD applied to your account upon activation, usable on your first qualifying order (minimum order value: $20 USD). This credit remains valid for as long as your subscription is active.
  • A recurring store credit of $40 USD credited to your account upon each successful Billing Cycle payment, redeemable on any order of $20 USD or more.
  • Access to exclusive member promotions, priority customer service, and other benefits as may be introduced from time to time.

Store credits are subject to the following conditions:

  • Credits are non-transferable and have no cash value.
  • Credits cannot be redeemed for cash or refunded.
  • The $40 cycle credit is issued after each successful payment and accumulates in your account balance. Unused credits carry over as long as your subscription remains active.
  • Credits may be combined with other promotional offers or discount codes available on the Website.
  • The minimum order value to redeem any store credit (whether $5 or $40) is $20 USD.

Benefits are available only while your subscription is active. Upon cancellation or termination, all unused store credits are immediately forfeited.


Article 4 — Free Trial

All new Members are eligible for a 28-day free trial upon their first subscription to the VIP Program. During the free trial, you will have full access to all VIP Program benefits, including the $5 welcome store credit and the $40 cycle store credit.

Cancellation during the free trial: If you cancel your subscription during the free trial period, your access to VIP benefits will cease immediately upon cancellation. No charge will be applied.

Conversion to paid subscription: At the end of the 28-day free trial, your subscription will automatically convert to a paid membership and your payment method will be charged $30 USD, unless you cancel before the trial expires.

Re-subscription: A member who has previously benefited from a free trial and cancels their subscription may be eligible for a new free trial upon re-subscribing. The Company reserves the right to limit or withdraw this benefit at any time.


Article 5 — Subscription Fee & Billing

5.1 Fee

The VIP Program subscription fee is $30.00 USD per Billing Cycle. All prices are stated in US Dollars (USD).

5.2 Billing Cycle

Your subscription is billed on a rolling 28-day cycle, beginning the day your free trial ends. Subsequent charges are automatically applied every 28 days.

Important: The Billing Cycle is based on 28-day intervals and does not correspond to calendar months.

5.3 Automatic Renewal

Your subscription renews automatically at the end of each Billing Cycle. By subscribing, you authorise the Company to charge the applicable fee to your registered payment method without further notice, unless you have cancelled or exercised the skip option in accordance with these Terms.

5.4 Price Stability

The subscription fee will not change during any active Billing Cycle. Should the Company wish to increase the subscription fee, you will be notified by email at least 30 days in advance. You may cancel your subscription before the new price takes effect if you do not wish to continue at the revised rate.

5.5 Payment Processing

Payments are processed via our third-party payment orchestrator, Primer.io, and the processor selected for your transaction. You are responsible for ensuring that your payment details are accurate, valid, and up to date. The Company is not responsible for any failed transactions resulting from incorrect or expired payment information provided by you.


Article 6 — Skip Option

Members may choose to skip an upcoming Billing Cycle, thereby avoiding the $30 charge and foregoing the $40 store credit for that period.

6.1 Skip Window

To skip a cycle, you must submit your request at least 7 days before your next scheduled charge date. Skip requests submitted within 7 days of the charge date cannot be processed for the upcoming cycle and your subscription will renew normally. The skip option will not be visible in your account dashboard once you are inside the 7-day window.

6.2 How to Skip

You may submit a skip request via:

An automated confirmation email will be sent once your skip request is successfully processed.

6.3 Consecutive Skips

Members may skip multiple consecutive cycles. There is no annual limit on the number of skips. Skipping a cycle does not cancel your membership — your subscription resumes automatically in the next Billing Cycle.


Article 7 — Cancellation

You may cancel your VIP membership at any time, with no minimum commitment period.

7.1 How to Cancel

Cancellation requests may be submitted via one of the following methods:

  • Online: Log in to your account and navigate to the Subscription section.
  • By email: Send a written cancellation request to contact.uk@ozerty.com

Cancellation requests submitted by email will be confirmed within 2 business days. Please retain a copy of your cancellation confirmation for your records.

7.2 Effect of Cancellation

Cancellation takes effect immediately. Upon cancellation, your access to all VIP benefits ceases immediately and all unused store credits are forfeited. No partial refund is issued for the remaining days of the current Billing Cycle, subject to the refund policy set out in Article 8.


Article 8 — Refund Policy

As a general rule, subscription fees are non-refundable once a Billing Cycle has been charged.

Exception — unused benefits: If you cancel your subscription and have not used any VIP benefits (i.e. no store credit has been redeemed and no discount has been applied to any order) during the relevant billing periods, you may request a refund of up to the last 4 payments made.

To request a refund, you must:

  • Contact us at contact.uk@ozerty.com within 30 days of your cancellation;
  • Confirm that no store credits or VIP benefits were used during the periods for which a refund is requested.

Refund eligibility will be assessed on a case-by-case basis. Approved refunds will be processed within 14 business days to the original payment method.

If you believe a charge has been made in error, please contact our customer support team at contact.uk@ozerty.com within 7 calendar days of the transaction date.


Article 9 — Failed Payment & Account Suspension

In the event that a scheduled charge to your payment method is unsuccessful, the following process will apply:

  • You will be notified by email of the failed payment.
  • The Company will automatically retry the charge up to 3 times over a period of 14 days via Primer.io.
  • If the payment remains unsuccessful after all retry attempts, your account will be suspended and access to VIP benefits will be immediately restricted.
  • If the outstanding balance is not resolved within 14 days of the initial failed payment, your membership may be terminated and any remaining store credits will be forfeited.

You remain responsible for all outstanding amounts. Suspended accounts are not eligible to accrue or use store credits during the suspension period.


Article 10 — Modification of Terms

The Company reserves the right to modify these Terms at any time. Any material modifications will be communicated to all active Members by email at least 30 days prior to taking effect.

If you do not accept the modified Terms, you may cancel your subscription before the changes take effect, in accordance with Article 7. Continued use of the Program after the effective date of any modification constitutes your acceptance of the revised Terms.


Article 11 — Suspension & Termination by the Company

The Company reserves the right to suspend or permanently terminate your membership, with immediate effect and without prior notice, in any of the following circumstances:

  • Breach of any provision of these Terms;
  • Fraudulent, abusive, or unlawful use of the Program or Website;
  • Provision of false or misleading information;
  • Any conduct that may cause harm to the Company, other Members, or third parties.

In the event of termination by the Company for cause, no refund will be issued and all store credits will be immediately forfeited.


Article 12 — Limitation of Liability

To the maximum extent permitted by applicable Hong Kong law, TAKAVIC LTD shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program, including but not limited to loss of data, loss of profits, or business interruption.

The Program is provided on an "as is" and "as available" basis. The Company does not guarantee uninterrupted access to the Program or the continuous availability of any specific product or offer.

TAKAVIC LTD's total aggregate liability to any Member shall not exceed the total subscription fees paid by that Member in the 28 days immediately preceding the event giving rise to the claim.


Article 13 — Data Protection & Privacy

By subscribing to the VIP Program, you consent to the collection and processing of your personal data by Takavic Ltd and its payment processor Primer.io, in accordance with our Privacy Policy available here. Personal data is processed in compliance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong.

As the Program is available globally, the Company also applies appropriate safeguards for Members located in regions with additional data protection requirements (including the EU/GDPR and applicable US state laws). You may exercise your data rights at any time by contacting us at the details provided in Article 15.


Article 14 — Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Hong Kong Special Administrative Region.

In the event of any dispute arising out of or in connection with these Terms or the Program, the parties shall first attempt to resolve the matter amicably by contacting our customer support team.

All formal claims must be submitted in writing to contact.uk@ozerty.com within 30 days of the event giving rise to the dispute. Any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Note for consumers: Nothing in these Terms affects your statutory rights as a consumer under the laws of your country of residence, where those laws provide greater protections than those set out herein.
